JOB DESCRIPTION

The role supports National Office leadership and management team with sound legal and corporate services advice to ensure all business decisions, operations and processes including employee relations and contracts management are executed in compliance with WV and national legal standards. The role also ensures that WVI Malawi Advisory Council fulfils its governance function and is facilitated through Board developments and effective processes to meet the WVI Partnership Governance standards and milestones.

  1. Provide advice to senior leadership and management on legal implication of internal policies, processes and procedures.

    1. Support Line Managers and Leadership in the area of grievance, discipline and employee relations.

    2. Provide support and advice to the P&C Director and management on hiring, litigation or termination issues.

    3. Support WVM on legal issues with staff, contractors and service providers in liaison with organization’s lawyer.

    4. Review on-going cases and advise management accordingly.

  • Effective management of cases (grievance, litigations and discipline)

  • Enhanced knowledge of legal issues among the AC, SLT members and line managers.

  1. Act as point person for legal issues, Reporting and perform day to day review of contracts , agreements and official correspondences from management teams

2.1 Review contracts for completeness and compliance with WVI standards and general practice.

2.2 Design templates for use by management and ensure WVI guidelines are implemented.

2.3 Preview correspondences for NDs office on various matters and ensure no avoidable recourse on management.

2.4 –Offers in house legal advise on various corporate services issues including leases etc.

2.5 Produce regular reports from management on risks and liaises with lawyers on pending legal cases.

2.6 Maintain WVI Malawi claims reports and reviews potential liability.

2.7 Offer the first opinion on legal matters and seek additional advise from peer organisations and external legal advisors on need basis.

2.8 Prepare any other monthly, quarterly and annual reports for the departments

  1. Ensure WVM processes and practices complies with Malawi legal obligations.

    1. Formulate compliance checklists to guide WVM in providing all required information for legal processes.

    2. Ensure that World Vision Malawi conforms to the local tax laws

    3. Review WVM policies, procedures, contracts and tender documents to ensure they are compliant to the Malawi laws.

    4. Support fraud prevention initiatives across WVM.

    5. Support leadership team balance moral and ethical issues versus legal matters.

    6. Reviews new policies and systems and highlights any legal implications that may arise in the context of Malawi .

  • Requirements in the legal processes are adhered to

  • Effective Policies and procedures developed

  • Contextualised policies and procedures in line with Malawi legal requirements.

  1. Network and collaborate with relevant partners and stakeholders

    1. Liaise with the Immigration Department for work permit and visa related issues.

    2. Communicate work permit and visa requirements to WVM departments

    3. Represent WVM in dealing with externally contracted legal firms

    4. Represent WVM in court on all legal matters.

    5. Network with peer organization on how to handle NGO specific issues.

    6. Monitor legislation changes and impact on operations of WVM

    7. Attend court sessions and ensure WVM legal advisor gets adequate information on respective legal cases.

  1. Build the capacity of staff in managing legal related risks.

    1. Review legal risk and offer advise to management.

    2. Conduct staff training and coaching on appropriate legal requirements

    3. Disseminate national and international context legal information and updates.

    4. Prepare staff for court proceedings requiring their actions.

    5. Enhance risk management across WVM departments

    6. Continuously monitor compliance with statutory obligations.

    7. Analyse Organizational legal process gaps and make necessary recommendations to management.

  • Legal related risks minimized.

  • WVM staff well informed on legal matters.

AC support services

  • Coordinate and organize all activities of the AC, including main meetings and that of the committees.

  • Take minutes of proceedings and disseminate to stakeholders.

  • Maintain a comprehensive filing system for all AC meeting, attendance registers and minutes

  • Annual planning of board development

  • Facilitate monitoring and evaluation of board processes in order to promote a culture of good governance in enhancing Child Well-being.

  • Ensure that the Advisory Council participates in the peer review exercise and act on the recommendations to promote good governance and stewardship in overseeing ministry delivery in World Vision Malawi for the improvement of Child Well-being.

  • Identify and coordinate relevant capacity building programmes for Advisory Council members to enhance good governance in improving Child Well-being.

  • Support the preparation and management of annual budget for the council

  • Review board policies and advise ND on areas that require alignment.

  • Track the AC transition plan and inform stakeholders on

  • Support the NO in meeting statutory reporting and returns to designated bodies as required by the laws of the land

  • AC development plans developed from monitoring and evaluation reports

  • Minutes showing Advisory Council participation

  • Peer review recommendations implemented

KNOWLEDGE, SKILLS AND ABILITIES

Minimum education, training and experience requirements to qualify for the position:

List academic requirements (if applicable), technical skills, or other knowledge required as a minimum qualification for this position.

  1. Must have a Bachelor’s degree in law studies, International law studies, business management law or equivalent qualification

  2. Requires 3 years relevant work experience.

  3. Must have a clear understanding of the Labour and governance law

  4. Managerial experience

  5. Mature and results orientated leader who can handle sensitive information

List additional work experience required as a minimum qualification for this position.

  1. Proven track record of providing accurate and effective legal counsel

  2. Proven track record of adding value to an organization through development of comprehensive contract documents and mitigate risk and penalties

  3. Proven track record in contract negotiation and drafting

License, registration, or certification required to perform this position:

  • Licensed with Malawi Law Society to practice in the country.

Preferred Skills, Knowledge and Experience:

List academic requirements, technical skills or other knowledge preferred for this position.

  • Masters degree in corporate governance, business administration, management, development studies, Economics, Management or its equivalent

  • Five years experience in governance; at least 3 years hands on experience preferably in an Non- Governmental Organization

  • Practical experience in corporate governance.

  • Ability to work without close supervision, i.e., must have initiatives, strong decision-making, problem solving and analytical thinking skills and abilities to exercise independent judgment.

  • Requires extreme confidentiality (critical), cross-cultural experience, understanding and sensitivity.

  • Knowledge of WVI policies and procedures and WVI Partnership structure and entities.

  • Ability to handle multi-tasks and prioritize work in relation to needs and urgency.

  • Emotional stability and detail oriented.

  • Analytical, strong business processing.
